Terms of Service

These terms are a contract between you and Karl Duncan ("we", "us"), which runs BidBrain AI. By creating an account or using BidBrain AI, you agree to them. If you don't agree, don't use the service.

1. What BidBrain AI does

BidBrain AI reads sales reports you download from marketplaces such as Whatnot, eBay, Vinted and Poshmark, plus any sales and inventory you enter, and turns them into profit summaries, show reports, inventory lists and year end totals.

2. Not affiliated with any marketplace

BidBrain AI is independent. It is not affiliated with, endorsed by, or sponsored by Whatnot, eBay, Vinted, Poshmark, Mercari or any other marketplace. Their names are trademarks of their owners and are used only to describe which reports BidBrain AI can read. Marketplaces can change their report formats at any time, which may stop an upload from working until we update BidBrain AI.

3. Estimates, not professional advice

Everything BidBrain AI shows is calculated from the data you provide. If a report is incomplete, a cost is missing, or a marketplace changes how it reports fees, the results will be off. BidBrain AI does not give tax, accounting, legal or financial advice. Check important numbers against your marketplace statements and talk to a qualified professional before filing taxes or making financial decisions.

4. Your account

You must be at least 18 and able to form a binding contract.
You sign in with Google or a link sent to your email. Keep access to that account secure; you're responsible for activity under your account.
One person per account. Tell us right away at karl@quotabuster.net if you think someone else has accessed it.

5. Free trial

New accounts get a 14 day free trial with all features. No payment method is needed. When the trial ends, reports are locked until you subscribe. You can still export or delete your data after the trial.

6. Subscription, renewal and cancellation

The paid plan is $29.99 per month, or $299 per year billed annually. Prices are in US dollars and exclude any taxes we're required to collect. The price is also shown in the app and at checkout before you subscribe.
Your subscription renews automatically at the end of each billing period, monthly or yearly depending on the plan you chose, and your payment method is charged each period until you cancel.
Cancel anytime in the app under Account, then Manage billing. Cancellation takes effect at the end of your current paid period, and you keep access until then.
Payments are not refundable for partial months or the unused part of a year, except where the law requires a refund.
We'll email you at least 30 days before any price increase takes effect on your subscription. Any introductory price you subscribe at stays locked while your subscription stays active; if you cancel, it ends.
Payments are processed by Stripe. We never see or store your full card number.

7. Your data

You own the data you upload. You give us permission to store and process it only to run BidBrain AI for you, as described in our Privacy Policy. You can export it or delete it at any time from the app.

8. Data about your buyers

Your reports may include your buyers' usernames. You confirm that you obtained that information through your own sales, that you have the right to upload it, and that you'll use what BidBrain AI shows you only for your own business and in line with each marketplace's rules. Don't use BidBrain AI to contact buyers in ways a marketplace prohibits, and don't upload information you aren't allowed to share.

9. Acceptable use

Don't misuse BidBrain AI. That includes trying to access other people's accounts or data, probing or overloading our systems, reverse engineering the service except where the law allows it, reselling access, or uploading anything unlawful or malicious.

10. Changes to BidBrain AI and these terms

We may add, change or remove features. If we make a material change to these terms, we'll tell you by email or in the app, and we'll ask you to agree again before you keep using BidBrain AI. If you don't agree, you can cancel and delete your account.

11. Ending your account

You can delete your account at any time in the app. We may suspend or close an account that breaks these terms or doesn't pay. If we close your account without cause, we'll refund any unused prepaid time.

12. Disclaimers

BidBrain AI is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose, accuracy and uninterrupted availability.

13. Limit of liability

To the fullest extent the law allows, we aren't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim about BidBrain AI is limited to the amount you paid us in the 12 months before the claim.

14. Governing law

These terms are governed by the laws of the State of Texas, without regard to conflict of law rules. Any dispute will be handled in the state or federal courts located in Tarrant County, Texas, unless the law where you live gives you the right to bring a claim elsewhere.
